These AOD terms for part of and should be read together with the HUB terms and conditions of service (the terms)

You should print a copy of these AOD Terms for future reference.

These AOD Terms describe your rights and responsibilities as a customer of the AOD Service.

  1. What these AOD Terms cover.

1.1         Pursuant to Section 1.2 of the Terms, these AOD Terms will govern your use of the AOD Service.

  1. AOD Service

2.1  AOD provides assurance testing of transactions reported to the applicable regulator in order to identify where the Client may have reported data incorrectly. 

2.2  AOD uses a subset of Kaizen’s full accuracy tests to identify errors and issues in reported data. Tests can be run by the Client as many times as required.

2.3  The Client will have access to AOD results on the Hub following submission of files via the File Transfer Service which shall comprise:

  • Summary of Accuracy on Demand errors and queries.
  • Set of drill down views showing results of errors and queries.

For the avoidance of doubt, the results output does not encompass investigation or management of the resolution of any of the issues identified during the course of the provision of the Service.

2.4  Any AOD license fee free trial (“Trial Service”) shall be deemed to be a No-Charge Product.

2.5  For the avoidance of doubt, the Trial Service does not include access to Kaizen’s regulatory reporting subject matter experts or responding to regulatory queries arising in respect of the AOD test results.

2.6  Use of AOD shall be subject to Supplier’s Fair Use Policy as published on the Kaizen Hub and as amended from time to time.

  1. Kaizen’s obligations

3.1            Kaizen:

  • does not warrant that:
    • the Client’s use of the AOD Service will be uninterrupted or error-free;
    • the AOD Service and/or the information obtained by the Client through the AOD Service will meet the Client’s requirements;
  • is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the Client acknowledges that the AOD Service may be subject to limitations, delays and other problems inherent in the use of such communications facilities.
  1. Client’s obligations

4.1 In consideration for access to the Trial Service, the Client agrees to:

  • participate in monthly review meetings with Kaizen, during which the Client will provide substantive feedback on AOD;
  • co-operate in the development of an AOD service plan with Kaizen, which shall include defined success metrics and evaluation criteria; and
  • engage in good faith discussions with Kaizen regarding the potential transition to a paid for service upon successful completion of the trial.

4.2  The Client agrees that, as Kaizen is providing the Trial Service free of charge, Kaizen:

  • shall have no liability of any kind in any circumstances whatsoever including without limitation negligence (except for death and personal injury caused by the Supplier’s negligence) to the Client in respect of the Trial Service and Kaizen gives no warranties of any kind in respect of the Trial Service. For the same reasons, all statutory and implied warranties are excluded to the full extent allowed by law;
  • does not warrant that the Client’s use of the Trial Service will be uninterrupted or error-free; and
  • shall use commercially reasonable endeavours to make the Trial Service available 24 hours a day, 7 days a week, except for (a) planned maintenance on reasonable prior written notice to the Client and (b) unscheduled emergency maintenance to address any vulnerability without the requirement to provide prior written notice to the Client.
